1. Introduction
Welcome to PatX. These Terms of Service ("Terms") govern your access to and use of the PatX platform, website, and services (collectively, the "Services") operated by Neural Healthcare Solutions Private Limited, a company incorporated under the laws of India, with its registered office at Gurgaon, Haryana, 122018 ("Company", "we", "us", or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
2. Definitions
- "Healthcare Provider" or"Doctor" means a registered medical practitioner, dentist, dietitian, or other healthcare professional who uses the Platform to offer subscription-based care programs.
- "Patient" means an individual who subscribes to care programs offered by Healthcare Providers through the Platform.
- "Platform" means the PatX website, mobile applications, and all related services.
- "Subscription Program" means the care plans or services offered by Healthcare Providers to Patients through the Platform.
- "User" means any person who accesses or uses the Platform, including Healthcare Providers and Patients.
3. Eligibility
To use our Services, you must:
- Be at least 18 years of age;
- Have the legal capacity to enter into a binding agreement;
- If you are a Healthcare Provider, hold valid registration and license to practice in your respective field as per applicable Indian laws, including but not limited to the Indian Medical Council Act, 1956, the Dentists Act, 1948, or other relevant professional regulations;
- Provide accurate and complete information during registration;
- Not be prohibited from using the Services under applicable laws.
4. Account Registration and Security
4.1. To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
4.2. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.
4.3. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or incomplete.
5. Services Description
5.1. For Healthcare Providers: PatX provides a platform enabling Healthcare Providers to create subscription-based care programs, manage patient subscriptions, process payments, and communicate with patients. Healthcare Providers can create custom branded pages, set pricing for their services, and track revenue through analytics dashboards.
5.2. For Patients: PatX enables Patients to discover Healthcare Providers, subscribe to care programs, manage subscriptions, and make payments through the Patient Portal.
5.3. Platform Role: PatX acts solely as an intermediary platform facilitating connections between Healthcare Providers and Patients. We do not provide medical advice, diagnosis, or treatment. The Company is not a healthcare provider and does not practice medicine.
6. Healthcare Provider Obligations
As a Healthcare Provider, you agree to:
- Maintain valid professional registration and licenses as required by applicable Indian laws;
- Provide accurate information about your qualifications, credentials, and services;
- Deliver services to Patients in accordance with professional standards and applicable laws;
- Comply with the Telemedicine Practice Guidelines issued by the Medical Council of India and other applicable regulations;
- Maintain patient confidentiality in accordance with medical ethics and applicable data protection laws;
- Not make false or misleading claims about your services or qualifications;
- Promptly respond to Patient inquiries and provide agreed-upon services;
- Comply with all applicable tax laws, including GST regulations.
7. Patient Obligations
As a Patient, you agree to:
- Provide accurate personal and health information;
- Use the Platform only for legitimate healthcare consultation purposes;
- Make timely payments for subscribed services;
- Not misuse or share access credentials with others;
- Understand that the Platform facilitates access to Healthcare Providers but does not replace emergency medical services.
8. Payments and Fees
8.1. Platform Fees: Healthcare Providers may be required to pay subscription fees to access Platform features. Fee details are available on our pricing page and may be updated from time to time with prior notice.
8.2. Patient Payments: Patients pay Healthcare Providers directly for subscription programs through our payment processing partner, Razorpay. All payments are processed securely in accordance with PCI-DSS standards.
8.3. Payment Processing: Payment processing services are provided by Razorpay Software Private Limited. By using our Services, you agree to be bound by Razorpay's terms of service.
8.4. Recurring Payments: For subscription programs with recurring payments, you authorize us to charge your payment method automatically on the scheduled billing dates until cancelled.
8.5. Taxes: All fees are exclusive of applicable taxes (including GST), which will be charged as per prevailing rates.
9. Cancellation and Refund Policy
9.1. Patient Cancellations: Patients may cancel their subscriptions through the Patient Portal. Upon cancellation, the subscription will remain active until the end of the current billing period.
9.2. Refunds: Refund policies for Patient subscriptions are determined by individual Healthcare Providers. Platform subscription fees for Healthcare Providers are non-refundable except as required by applicable law.
9.3. Disputes: Any payment disputes between Patients and Healthcare Providers should be resolved directly between the parties. The Company may, at its discretion, assist in dispute resolution but is not obligated to do so.
10. Intellectual Property
10.1. The Platform, including its design, features, content, trademarks, logos, and software, is owned by or licensed to the Company and is protected by intellectual property laws.
10.2. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purposes.
10.3. Healthcare Providers retain ownership of their content uploaded to the Platform but grant the Company a license to display such content as necessary to provide the Services.
11. Prohibited Activities
You agree not to:
- Use the Platform for any unlawful purpose or in violation of these Terms;
- Impersonate any person or entity or misrepresent your affiliation;
- Upload or transmit malicious code, viruses, or harmful content;
- Attempt to gain unauthorized access to the Platform or its systems;
- Interfere with or disrupt the Platform's operation;
- Scrape, mine, or extract data from the Platform without authorization;
- Use the Platform to send spam or unsolicited communications;
- Engage in any activity that violates applicable laws or regulations.
12. Disclaimer of Warranties
12.1. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12.2. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
12.3. We do not endorse, verify, or guarantee the qualifications, credentials, or quality of services provided by Healthcare Providers.
12.4. The Company is not responsible for any medical advice, diagnosis, or treatment provided by Healthcare Providers through the Platform.
13. Limitation of Liability
13.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
13.2. Our total liability for any claims arising from or related to these Terms or the Platform shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.
13.3. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
14. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) for Healthcare Providers, any claims related to services provided to Patients.
15. Termination
15.1. You may terminate your account at any time by contacting us at support@patx.in.
15.2. We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice.
15.3. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.
16. Governing Law and Dispute Resolution
16.1. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
16.2. Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana, India.
16.3. Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiations for a period of thirty (30) days.
17. Amendments
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Platform. Your continued use of the Platform after such notification constitutes acceptance of the modified Terms.
18. General Provisions
18.1. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
18.2. Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of such provision.
18.3. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Platform.
18.4. Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
